$8,500,000 for 30%, released in two tranches.

The first payment builds the technology, the team and the legal structure. The second only moves once the pilot is real — a recorded lease, an interconnection position and a first lien on the plant. If those never happen, the second payment is never drawn.

The two tranches

Tranche 1 — at signing

$2,000,000

for 10% — Technology, team employment build and legal work

  • Engineering and controls work to take the block design from drawings to a buildable package.
  • Employment of the core team — engineering, delivery and site development.
  • Entity, lease, SPV and licence legal work so a pilot can be signed cleanly.

Released on signing. No site conditions.

Tranche 2 — at the pilot gate

$6,500,000

for 20% — First pilot build

  • Released only once the guarantees are in place.
  • Recorded long-term host lease at the pilot site.
  • Interconnection position established with the utility.
  • First lien on the physical plant and the batteries.

Conditional. If the gate is not met, tranche 2 is not drawn.

The stake follows the money. Ten per cent vests with the first payment and stays at ten per cent if the pilot gate is never met — there is no ratchet and no re-pricing. The remaining twenty per cent vests only when the second payment is drawn.

The three gates on the second payment

These exist to protect the investor, not us. Each one has to be in place and evidenced before the second payment is called.

Gate one — a recorded host lease

A long-term host lease recorded at the pilot site, with landlord consent and no landlord lien on our plant. Site control comes before steel.

Gate two — an interconnection position

An accepted interconnection position with the utility for the pilot site, so the block has a route to the grid before it is built.

Gate three — a first lien

A first lien position on the physical plant and the batteries, in favour of the round, before the second payment is drawn.

  • No block is energized yet. Every performance figure we publish is modelled, not measured.
  • No pilot site is named publicly until the host agreement is signed and the host agrees.
  • The patent is provisional and pending. It has not been examined or granted.

  • The government channel is at registration stage. There is no federal award.
